Yoga Support Fund Terms & Conditions for Donation Payments

Liforme Ltd. (referred to as “us”, we”etc. or “Liforme”) is a Limited Company registered in England.  Liforme have set up a COVID-19: YOGA TEACHERS & STUDIOS SUPPORT FUND (“the Fund”),  which via the Donation Website (as defined below) is accepting donations to support Yoga teachers and Yoga studios around the World.  We have also via the Donation Website set up a way for donors or other people to nominate a Yoga teacher and/or Yoga studio whom they believe are in need of financial support as a result of closures or other restrictions resulting from the COVID-19 pandemic.

We operate the website yogasupportfund.com (the Donation Website). These are the terms and conditions (“Terms and Conditions”) which govern each use you make of the donation payment services or any other information or services provided through the Donation Website and/or any other aspect of the Fund or the campaign to promote awareness and/or fundraising for the Fund or any other related activities conducted by us.

These Terms and Conditions apply separately to each single donation that you make. By confirming on the Donation Website that you wish to make a donation you agree to be bound by these Terms and Conditions for that donation.

(1) Donations, Nominations and Allocation of Grants to Nominated Recipients

Donations

We will use your donation in accordance with our stated charitable objectives, as detailed on the Donation Website and/or here in these Terms & Conditions (the latter prevailing in the case of any inconsistency). Donations will consist of those volunteered by our community and submitted on the Donation Website, and those donated by Liforme on behalf of our customers in line with our pledge to support the Fund by donating 100% of profits (or 10% of sales, if greater) directly attributed to all orders made on liforme.com from the month of April 2020 (please note this excludes the purchase of Gift Cards).

As of 9 November 2020, Liforme is also offering during its ‘new dawn’ sale event, the opportunity for customers to join the Liforme community by signing up to the Liforme newsletter and then being given the option to choose one of four available charitable causes (including the Fund) to which Liforme will donate 3% of the applicable customer’s purchase (for further details on this, see the specific terms and conditions on liforme.com relating to this sale event).

Nominations

Nominations for potential recipients of Grants (“Nominees”) will be able to be made by any person, via the Donation Website.   Liforme will also at certain times in Liforme’s discretion offer its customers and community/followers the option to nominate Nominees via Liforme’s own website(s), social media accounts, e-newsletter(s) or via other Liforme channels.

Nominations will only be valid if all the requested info (as detailed in the nomination form) is provided accurately.

Nominations for Yoga studios may be for single-branch studios or for a branch/location of a multi-branch studio business with no more than 5 branches/locations in common ownership (subject to exception in our discretion on a case by case basis).

By making a nomination for a potential recipient of a Grant, the person making such nomination agrees to give us permission to disclose their identity to the teacher and/or studio they are nominating.

Grants & Selection of Recipients

Liforme will aggregate all nominations received via the Donation Website, and Liforme’s other channels (as referenced above), and allocate the funds to selected recipients (“Recipients”) through grants (“Grants”) as set out below.

The Fund will be distributed to Recipients in the following geographical territories, with total funds being allocated to each of the four territories according to the proportionate number of nominated recipients based in each such territory out of the total number of nominated recipients based anywhere worldwide.

  • North America
  • Europe
  • Asia
  • Rest of World

Recipients of Grants within each territory (as listed above) will be picked at random from the list of all nominees in that territory, and all picks will then be subject to further verification checks and eligibility criteria, as set out below in section (2)Verification and Eligibility Checks.

Proposed recipients of Grants will be picked at random using a formula in Microsoft Excel at certain intervals as the Fund increases, from the list of all nominations received up until such point in time. Nominees not selected in each draw will be re-entered into the next draw. All picks will then be subject to a clear and transparent verification check (see (2)) prior to confirming the allocation and verification of the grant.

The Fund shall be allocated as follows on a weekly basis (or with different frequency in Liforme’s reasonable discretion) as to 48% to teacher Recipients and 52% to studio Recipients on the basis of the following Grants:

  • $300 Grants to the resultant number of Yoga teacher Recipients
  • $650 Grants to the resultant number of Yoga studio Recipients

All payments through the Donation Website are to be made by credit card or a PayPal account. Once you confirm to us through the Donation Website that you wish to proceed with your donation your transaction will be processed through our payment services provider, PayPal. By confirming that you wish to proceed with your donation you authorise PayPal to request funds from your credit or debit card provider.

Recipients will be contacted via email from info@yogasupportfund.com by the Liforme team and have up to two weeks from first contact to respond. Recipients will be contacted at least twice and if they do not respond after this, Liforme will have to remove the Recipient from the selection before and give the Grant to someone else, pulled at random through the same process described above.

(2) Verification and Eligibility Checks

Upon receipt of nominations and after randomly selecting potential Recipients as outlined above, we will then verify and confirm an allocation of a Grant to the selected nominated Recipients using the following eligibility criteria:

  • We must be able to directly contact the nominated recipients in order to verify their identity and request further information if necessary.
  • Recipients must have an active online presence in the form of a website, Instagram page, or similar to demonstrate credibility and validity.
  • Recipients must be able to receive funds via PayPal, which is the sole payment method through which the Fund shall be distributed (so nominations received for potential recipients based in countries where they cannot receive PayPal payments will be ineligible for a Grant from the Fund)
  • Yoga Teachers must additionally:
    1. Be a current, active teacher, who have taught an average of more than 4 hours per week during the last year (this will be self-certified by teachers) .
    2. Must have a minimal qualification of 200hrs accredited yoga teacher training, and be able to submit evidence of this qualification/certification.
  • Yoga Studios must additionally:
    1. Have been established as a business (with a relevant business tax number or similar) for a minimum of 1+ years prior to 1 April 2020.
    2. Be able to demonstrate recent closure/significant impact of the Covid-19 global restrictions on their business, if requested
    3. Be either a single branch studio or a multi-branch studio of no more than 5 branches in common ownership (this initiative is focused, although not exclusively) on supporting private small businesses although Liforme will also be looking at ways, separately outside of the Fund, to support or partner with studios not falling into that category (for enquiries about this, please email: info@yogasupportfund.com)

Once confirmed as eligible for receipt of the funds, we will directly contact the nominated Yoga teacher OR studio to pay them the due amount via PayPal (after deduction of PayPal transaction charges).

Liforme otherwise reserves the right to manage the selection of the nominated recipients in its reasonably discretion in line with the stated charitable purpose and mission.

(3) Liforme Contribution to the Fund

Liforme have made to date initial donations to the Fund totalling $100,000, and may make further donations in its discretion over time, including through other promotional campaigns involving its customers and or community.


Following completion of Liforme’s final accounting for the relevant period, Liforme will make a balancing payment to the Fund, up to the full value of our pledge of either 100% of profits (or 10% of sales, if greater) from all orders via Liforme.com for the whole of April 2020. Please note this excludes the purchase of Gift Cards.

(4) Unauthorised card use

If you become aware of fraudulent use of your card, or if it is lost or stolen, you must notify your card provider.

(5) Information from you

Before we can process a donation you must provide us with (i) your name, address and email address; and (ii) details of the credit or debit card that you wish to use to fund the donation. We will use this information to process your donation. It is your responsibility to ensure you have provided us with the correct information.

When you submit your payment details, these details will be transferred to our payment provider, PayPal, and your payment data will be collected and processed securely by them. You should make sure that you are aware of PayPal’s terms and conditions, which are different from our own, to ensure that you are comfortable with how they will process your personal data before you make a donation.  This applies both for those with a PayPal account (https://www.paypal.com/ga/webapps/mpp/ua/useragreement-full), and those without (https://www.paypal.com/uk/webapps/mpp/ua/guest-tnc).  We won’t share your personal details with any other third party other than is set out in our Privacy Policy. Our Privacy Policy forms part of these Donation Payment Terms and Conditions and by agreeing to these Terms and Conditions you are also agreeing to the way we use and protect your personal information in line with our Privacy Policy.

(6) Donation Refund policy

Supporters of the Yoga Support Fund are incredibly important to us. This initiative means nothing without your help, and we believe it will make a huge difference to  those people in the yoga industry who need help at this difficult time, so that they can carry on providing and developing the services from which so many of us benefit.  

In order that we may ensure the Fund delivers on its stated charitable objectives and in order to ensure transparency and accuracy of the publication of information about donation amounts to the Fund, donations to the Fund are not returnable or refundable, save in the case of exceptional circumstances (adjudged in our discretion) or where legally required. If you believe that a donation you have made should be refunded, please contact us within 14 days of making your donation at info@yogasupportfund.com and our team will get back to you as quickly as possible to discuss the situation.

(7) Deductions from Payment processing

Donations made to the Fund will attract payment processing fees as charged by Paypal. 

Liforme will cover the cost of administrating the Donation Website, managing the selection and verification of Recipients of Grants in accordance with the terms hereof and the making payments of Grants, without charge and without deduction of any amounts from those sums donated to the Fund.

(8) General

If you, as a Donor or Recipient, provide photographs or videos to Liforme with respect to the Fund or the campaign relating thereto, you agree that these may be used by us for any purpose in connection with the Fund or the campaign relating thereto or in connection with providing information about Liforme’s charitable and/or community-related work or projects. By sending these to us, you are also warranting that anyone featuring prominently in the photograph has consented to their image being used in this way.

For the avoidance of doubt and for the purposes of transparency, no Yoga studio customer of Liforme shall be given more favourable treatment than any other studios nominated by the public as potential Recipients of a Grant from the Fund (studios which are customers of Liforme may be nominated but shall have no more or no less chance of being selected through the initial random selection process as outlined above).  This initiative is not about supporting Liforme’s existing customer base, it is about our community uniting to support the broader Yoga community.

We reserve the right to amend these Terms and Conditions at any time.

These Conditions are governed by English law and are subject to the exclusive jurisdiction of the English courts.
